Frey Portal End-User License Agreement
Last updated: October 1, 2026
This End-User License Agreement ("Agreement") is between you and Frey Design Group, Inc., an Illinois corporation ("Frey," "we," "us," or "our"). It governs your use of Frey Portal, the private online portal at freyportal.com, including the My Account billing section and all related features (the "Portal").
By signing in to or using the Portal, you agree to this Agreement and to the Frey Portal Privacy Policy. If you do not agree, do not use the Portal.
1. Who this Agreement applies to
The Portal is invitation-only. Frey creates accounts for people authorized by a Frey client (each an "Authorized User"). You use the Portal on behalf of the company or organization that Frey has authorized you to represent ("your Organization"), such as a property owner, a property management company, or a service partner.
If your Organization has a signed services agreement, statement of work, or similar contract with Frey (a "Client Agreement"), the Client Agreement controls if it conflicts with this Agreement.
2. License
Subject to this Agreement, Frey grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Portal solely for your Organization's internal business purposes related to the properties assigned to you. Frey reserves all rights not expressly granted in this Agreement.
3. Your account
a. Your own login. Each Authorized User receives their own account. Do not share your password, sign-in codes, or account with anyone, including coworkers.
b. Two-factor authentication. Signing in requires a one-time code sent to the email address on your account. Keep that email account secure, because access to it can allow access to the Portal.
c. Passwords. You can change your password at any time and reset it yourself from the sign-in page. Use a strong password that you do not use anywhere else.
d. Accurate information. Keep your account and billing information accurate and current.
e. Report problems. Tell us right away at support@freyportal.com if you believe someone has accessed your account without permission.
f. Responsibility. You are responsible for activity that occurs under your account.
4. Property access
Frey assigns each Authorized User to specific properties, and you will only see information for the properties assigned to you. Frey may add, change, or remove your property assignments or your access at any time, including at your Organization's request or when your Organization's relationship with Frey ends.
If you can see information that you believe you should not have access to, stop using that information and tell us at support@freyportal.com.
5. Acceptable use
You agree not to:
- Try to access properties, accounts, or information not assigned to you, or bypass any security or access control.
- Share your account or give anyone else access to the Portal.
- Copy, scrape, or bulk download Portal content, or use bots, crawlers, or scripts to access the Portal, except through features the Portal provides (such as downloading an invoice PDF).
- Reverse engineer, decompile, modify, or create derivative works of the Portal.
- Upload malicious code or interfere with or disrupt the Portal.
- Use the Portal to build or support a competing product or service.
- Share Portal information with anyone who is not authorized to receive it.
- Use the Portal in violation of any law or regulation.
6. Confidentiality
The Portal contains confidential business information, including property details, pricing, invoices, reports, and contact information. Use this information only for the purposes allowed by this Agreement and protect it with reasonable care. Do not disclose it outside your Organization except to people who need it for your Organization's business and are authorized to receive it, or as required by law. Any confidentiality terms in a Client Agreement also apply.
7. Ownership
a. Frey's property. Frey and its licensors own the Portal, including its software, design, layouts, report formats, and all related intellectual property. This Agreement does not transfer any ownership to you.
b. Client Data. Information about your Organization's properties and business that is provided to Frey ("Client Data") is governed by your Organization's Client Agreement. You allow Frey to host, process, and display Client Data to operate the Portal and provide services to your Organization, as described in the Privacy Policy.
c. Feedback. If you send Frey suggestions or ideas about the Portal, Frey may use them without any obligation to you.
8. My Account, billing, and payments
a. Access. The My Account billing section is available to Authorized Users that Frey designates as billing contacts for their Organization.
b. Pricing. Invoice amounts and service pricing are set by Frey under your Organization's Client Agreement or other arrangement with Frey. The Portal displays invoices. It does not change pricing.
c. Profile updates. When you update your billing profile, Frey updates the billing contact information in Frey's QuickBooks account. Invoices and receipts are sent to the billing email on file.
d. Payments through Intuit. Payments and AutoPay enrollment are processed by Intuit Inc. through QuickBooks. When you select Pay Invoice or Set Up AutoPay, you leave the Portal and complete the transaction on Intuit's secure payment page, subject to Intuit's terms and privacy statement. Frey never receives, sees, or stores your card or bank account details.
e. AutoPay. AutoPay is set up through Intuit and applies to the recurring invoice series you enroll in. Availability depends on the invoice and on Intuit's requirements, which may include creating a free Intuit account. To change or cancel AutoPay, manage it through Intuit where available, or contact us at support@freyportal.com before your next scheduled payment.
f. Invoice questions. Contact us at support@freyportal.com with any questions about an invoice.
g. Payment obligations. Your Organization's obligation to pay is set by its Client Agreement or other arrangement with Frey. Using the My Account section does not make you personally responsible for your Organization's invoices.
9. Activity monitoring
Frey records Portal activity, including sign-ins, pages viewed, reports opened, and account actions, to keep the Portal secure, provide support, and deliver services. By using the Portal, you consent to this recording. See the Privacy Policy for details.
10. Third-party services
The Portal works with third-party services, such as Intuit QuickBooks for billing and payments, and displays the setup status of tools such as Google Analytics, Google Tag Manager, Google Search Console, and Google Business Profile. Third-party services are governed by their own terms and policies, and Frey is not responsible for them. Intuit and QuickBooks are trademarks of Intuit Inc. Google and related marks are trademarks of Google LLC.
11. Reports and information
Portal information and reports are provided for general business purposes. Some data comes from third-party platforms and may be delayed or incomplete. Frey works to keep Portal information accurate but does not guarantee it. Nothing in the Portal is legal, financial, or tax advice.
12. Changes and availability
Frey may update, change, or discontinue features of the Portal at any time. We work to keep the Portal available, but it may be unavailable at times for maintenance, updates, or reasons outside our control.
13. Termination
Your access ends when Frey deactivates your account, when your Organization asks us to remove you, when your Organization's relationship with Frey ends, or if you breach this Agreement. Frey may suspend access immediately when needed to protect the Portal, its users, or Client Data. Sections that by their nature should continue after access ends, including Confidentiality, Ownership, Disclaimer, Limitation of Liability, and Governing Law, will continue.
14. Disclaimer
EXCEPT AS EXPRESSLY STATED IN A CLIENT AGREEMENT, THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FREY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FREY DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FREY WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PORTAL. FREY'S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT CHANGE ANY LIABILITY TERMS IN A CLIENT AGREEMENT BETWEEN FREY AND YOUR ORGANIZATION.
16. Governing law
This Agreement is governed by the laws of the State of Illinois, without regard to its conflict of laws rules. Unless a Client Agreement says otherwise, any dispute arising out of this Agreement will be handled exclusively in the state or federal courts located in Illinois.
17. Changes to this Agreement
Frey may update this Agreement from time to time. We will post the updated version with a new "Last updated" date. If we make material changes, we will notify you by email or with a notice in the Portal. Continuing to use the Portal after the updated Agreement takes effect means you accept it.
18. General terms
This Agreement, the Privacy Policy, and any Client Agreement are the entire agreement between you and Frey about the Portal. If any part of this Agreement is found unenforceable, the rest remains in effect. Frey's failure to enforce any part of this Agreement is not a waiver. You may not assign this Agreement. Frey may assign it in connection with a merger, acquisition, or sale of all or part of its business. Frey may send notices to the email address on your account.
